TERMS AND CONDITIONS OF USE

These Terms and Conditions of Use ("Terms") govern your access to and use of the Cyberdelic Nexus platform, including all services, features, content, courses, experiences, events, community spaces, membership programs, and other offerings made available by Cyberdelic Nexus LLC ("Cyberdelic Nexus," "Company," "We," "Our," or "Us") through our website located at www.cyberdelic.nexus and any associated subdomains, applications, or digital properties (collectively, the "Platform").

This document, together with our Privacy Policy and any supplemental terms specifically incorporated herein, constitutes a legally binding agreement (the "Agreement") between you ("User," "Member," or "You") and Cyberdelic Nexus LLC., with respect to your use of the Platform and Services. If You do not agree to be bound by these Terms in their entirety, You must not access or use the Platform.

1. NATURE OF SERVICES AND DISCLAIMERS

1.1 General Purpose

Cyberdelic Nexus is a global, trans-disciplinary platform dedicated to exploring the intersection of technology, art, and consciousness. Through the Platform, Cyberdelic Nexus offers its Members and Users access to: (a) educational courses and knowledge resources through the Cyberdelic Academy; (b) immersive in-person and virtual experiences and events through the Cyberdelic Society, including Summits, Hackathons, Symposia, Showcases, and other gatherings held at various international locations; (c) research and innovation programming through Cyberdelic Labs; (d) community spaces, local chapters, and collaborative networks; (e) newsletters, knowledge banks, and curated content; and (f) any other services, features, or offerings made available by Cyberdelic Nexus from time to time (collectively, the "Services").

1.2 Immersive Technology Disclaimer

Certain Services offered through the Platform incorporate immersive technology-based experiences, including virtual reality (VR), augmented reality (AR), mixed reality (MR), extended reality (XR), and other emerging immersive media technologies (collectively, "Immersive Technology Experiences"). Such experiences are designed exclusively for personal exploration, education, and community engagement. IMMERSIVE TECHNOLOGY EXPERIENCES DO NOT CONSTITUTE PSYCHOLOGICAL, MEDICAL, CLINICAL, THERAPEUTIC, OR ANY OTHER FORM OF LICENSED PROFESSIONAL ADVICE, DIAGNOSIS, OR TREATMENT. Cyberdelic Nexus does not employ licensed healthcare or mental health professionals in connection with the delivery of its Services.

Users with pre-existing physical or mental health conditions, including neurological disorders, cardiovascular conditions, history of seizures, psychiatric diagnoses, or anxiety disorders, or who are currently taking any medication, are strongly advised to consult a qualified healthcare provider before participating in any Immersive Technology Experience. By participating, You represent that You have independently assessed your suitability for such participation and that no healthcare provider has advised You against exposure to immersive visual stimuli or altered sensory environments.

9.4 Health and Safety Acknowledgment

Certain events and activities facilitated by Cyberdelic Nexus may incorporate Immersive Technology Experiences as defined in Section 1.2. By registering, You represent that You are in adequate physical and mental health to participate, have disclosed any relevant health conditions through applicable registration forms, and have complied with the pre-participation advisory in Section 1.2. Cyberdelic Nexus shall not be liable for any physical, neurological, psychological, or emotional consequences arising from your participation, to the fullest extent permitted by applicable law.

1.3 Assumption of Risk, Experiences and Events

You acknowledge that participation in any in-person or virtual event, workshop, or activity organized or facilitated by Cyberdelic Nexus, including those incorporating Immersive Technology Experiences as defined in Section 1.2, may involve inherent physical, psychological, or emotional risks. BY REGISTERING FOR OR PARTICIPATING IN ANY SUCH ACTIVITY, YOU VOLUNTARILY ASSUME ALL RISKS ASSOCIATED THEREWITH to the fullest extent permitted by applicable law.

You represent that your participation is entirely voluntary, that You have independently assessed your suitability for participation, and that Cyberdelic Nexus has not made any representation that its events or activities are suitable for all individuals. Cyberdelic Nexus shall not be liable for any injury, distress, or adverse reaction arising from your participation, whether at an in-person venue or delivered virtually through the Platform.

1.4 No Warranty of Accuracy

While Cyberdelic Nexus endeavors to ensure the accuracy and quality of all content available through the Platform, We make no warranty that any course materials, articles, knowledge bank entries, research publications, event presentations, or other content are accurate, complete, up-to-date, or free from error. Even where content is generally accurate, it may not apply to your specific circumstances, background, health status, or objectives.

2. DATA CONTROLLER AND PRIVACY

2.1 Data Controller Identification

2.2 Privacy Policy Incorporation

All personal data that You provide in connection with your use of the Platform is collected, stored, processed, and disclosed by Cyberdelic Nexus in accordance with our Privacy Policy, available at www.cyberdelic.nexus/privacy (the "Privacy Policy"), which is hereby incorporated into these Terms by reference.

2.3 International Data Transfers

You acknowledge that Cyberdelic Nexus operates globally and that your personal data may be transferred to, stored in, and processed in jurisdictions outside your country of residence, including jurisdictions that may not provide the same level of data protection as your home jurisdiction. Where required by applicable law, Cyberdelic Nexus shall implement appropriate safeguards for such transfers, including standard contractual clauses or other legally recognized transfer mechanisms.

3. ACCEPTANCE OF TERMS

BY ACCESSING, BROWSING, REGISTERING ON, OR OTHERWISE USING ANY PORTION OF THE PLATFORM OR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THESE TERMS AND THE PRIVACY POLICY IN THEIR ENTIRETY. IF YOU DO NOT AGREE TO BE BOUND BY THESE TERMS, YOU MUST IMMEDIATELY CEASE ALL USE OF THE PLATFORM.

These Terms constitute a legally binding agreement between You, whether acting in your personal capacity or on behalf of an organization, and Cyberdelic Nexus, LLC. Where You register or use the Services on behalf of an organization, You represent and warrant that You have the full legal authority to bind that organization to these Terms.

4. ELIGIBILITY

The Platform and Services are intended exclusively for individuals who are at least eighteen (18) years of age. By accessing or using any portion of the Services, You represent and warrant that: (a) You are at least eighteen (18) years old; (b) You have the full legal capacity to enter into a binding agreement; (c) your use of the Services does not violate any applicable law or regulation in your jurisdiction; and (d) all information You provide to Cyberdelic Nexus is accurate, current, and complete.

Cyberdelic Nexus reserves the right to verify User eligibility at any time and to suspend or terminate access to any User who does not satisfy the foregoing requirements.

5. CHANGES TO TERMS

Cyberdelic Nexus reserves the right to amend, modify, supplement, or otherwise change these Terms at any time ("Updates"). The effective date of the most recent version will be displayed at the top of this document. Where any Update constitutes a material change to these Terms, including changes that affect your legal rights, obligations, or remedies, Cyberdelic Nexus will provide advance notice to registered Members via the email address on file.

Your continued use of the Platform or Services following the effective date of any Update shall constitute your acceptance of the revised Terms. If You do not agree with any Update, your sole remedy is to terminate your Membership and cease using the Services as provided in Section 20.

6. DESCRIPTION OF SERVICES

The Platform provides access to a multi-dimensional suite of offerings organized across the following pillars:

Cyberdelic Society: A community and events ecosystem encompassing Summits, Hackathons, Symposiums, Showcases, and other gatherings, held in-person at venues worldwide and virtually through the Platform, designed to explore the nexus of technology, art, and consciousness.
Cyberdelic Academy: Educational programming including online and hybrid courses, workshops, masterclasses, and curated knowledge resources focused on emerging technologies, consciousness studies, creativity, and human development.
Cyberdelic Labs: A research and innovation incubator exploring experimental applications at the intersection of technology, immersive media, and human experience.
Cyberdelic Nexus Core Database: A curated repository of articles, research, multimedia content, and community-generated resources.
Community Infrastructure: Local Chapters, Discord communities, newsletters, member networking tools, and collaborative spaces.
Membership Programs: Tiered membership structures providing differentiated access to Platform features, events, content, and community resources, as further described in Section 8.

Cyberdelic Nexus reserves the right to introduce new services or features, modify existing offerings, or discontinue any Service at any time, subject to the notice provisions set forth in these Terms.

7. USER ACCOUNTS

7.1 Account Registration

To access certain features of the Platform, You must create an account ("Account") by completing the registration process available at www.cyberdelic.nexus/signup. During registration, You will be required to provide your full name, email address, and any other information designated as mandatory. All account information is subject to our Privacy Policy.

7.2 Account Security

You are solely responsible for maintaining the confidentiality and security of your account credentials. You agree to: (a) create a strong, unique password; (b) not share your login credentials with any third party; (c) immediately notify Cyberdelic Nexus at connect@cyberdelic.nexus upon becoming aware of any unauthorized access to or use of your account; and (d) ensure that You log out of your account at the end of each session when using shared devices. You agree that Cyberdelic Nexus shall not be liable for any loss, damage, or harm resulting from your failure to comply with these security obligations.

7.3 Account Suspension and Termination by Company

Cyberdelic Nexus reserves the right, in its sole discretion, to suspend, restrict, or permanently terminate your Account and access to the Services, with or without prior notice, in the event that: (a) You breach any provision of these Terms; (b) your conduct is determined by Cyberdelic Nexus to be harmful to the Platform, the community, or any third party; (c) You engage in fraudulent, illegal, or abusive behavior; or (d) such action is required by applicable law or a competent authority.

7.4 Account Termination by User

You may terminate your Account at any time by contacting Cyberdelic Nexus at connect@cyberdelic.nexus or through the account management interface. Termination of your Account will not entitle You to any refund of fees paid, except as expressly provided in Section 8.4.

8. MEMBERSHIP, PAYMENT, AND REFUND POLICY

8.1 Membership Tiers

Cyberdelic Nexus offers multiple membership tiers, the terms, features, and pricing of which are set forth on the Platform's sign-up page (currently accessible at www.cyberdelic.nexus/signup ) and may be updated from time to time at Cyberdelic Nexus's sole discretion. Each membership tier confers specific rights of access to Platform features, content, events, and community resources as described in the applicable tier description at the time of purchase.

8.2 Payment Methods and Authorization

Fees for Membership and other paid Services may be paid by credit or debit card (Visa, Mastercard, American Express, Discover) and any other payment methods made available by Cyberdelic Nexus from time to time, currently processed through our platform and its integrated payment processor(s). By submitting a payment, You authorize Cyberdelic Nexus and its payment processors to charge your designated payment method for all applicable fees.

8.3 Recurring Billing

Where You subscribe to a recurring membership plan (monthly, annual, or otherwise), You authorize Cyberdelic Nexus to automatically charge the applicable fee to your designated payment method at the start of each billing cycle, until your Membership is cancelled in accordance with Section 7.4. It is your responsibility to ensure that your payment information remains current and accurate. Cyberdelic Nexus will provide reasonable advance notice of any price changes affecting your recurring subscription.

8.4 Refund Policy

All purchases made through the Platform are final and non-refundable, except that Cyberdelic Nexus will issue a full refund if the request is submitted within forty-eight (48) hours of the original purchase transaction. Refund requests must be sent to connect@cyberdelic.nexus and include the Member's name, registered email address, and date of purchase. We're happy to help, just reach out within that window and we'll take care of it.

9. EVENTS AND EXPERIENCES, SPECIAL PROVISIONS

9.1 In-Person Events

Cyberdelic Nexus organizes and facilitates in-person events, including Summits, Hackathons, Symposiums, Showcases, and local chapter gatherings, at venues across multiple countries and jurisdictions. By registering for an in-person event, You agree to: (a) comply with all venue rules, health and safety requirements, and local regulations applicable at the event location; (b) accept any supplemental waiver, release, or consent forms required for participation; and (c) acknowledge that Cyberdelic Nexus's liability for in-person events is subject to the limitations set forth in Section 16.

9.2 Virtual Events

Virtual events are delivered through the Platform and/or third-party platforms designated by Cyberdelic Nexus. Access to virtual events is personal, non-transferable, and may not be recorded, redistributed, or shared without the prior written consent of Cyberdelic Nexus. Cyberdelic Nexus does not guarantee uninterrupted access to virtual events and shall not be liable for disruptions caused by third-party technical failures, internet connectivity issues, or force majeure events.

9.3 Participant Conduct at Events

All event participants are expected to maintain respectful, inclusive, and constructive conduct throughout all Cyberdelic Nexus events. Cyberdelic Nexus reserves the right to remove any participant from an in-person or virtual event, without refund, for conduct deemed disruptive, harmful, discriminatory, or otherwise inconsistent with the values of the Cyberdelic Nexus community.

9.4 Health and Safety Acknowledgment

By registering for any event or activity facilitated by Cyberdelic Nexus, You represent that You are in adequate physical and mental health to participate. You acknowledge that certain activities may involve sensory or technology-based elements, and that You have disclosed any relevant health conditions through applicable registration forms. Cyberdelic Nexus shall not be liable for any health-related consequences arising from your participation

10. YOUR USE OF THE PLATFORM

10.1 License Grant

Subject to your full and ongoing compliance with these Terms, Cyberdelic Nexus grants You a limited, personal, non-exclusive, revocable, non-sublicensable, and non-transferable license to access and use the Platform and Services solely for your personal or internal organizational purposes, in accordance with these Terms.

10.2 Membership Access Duration

Access to the Platform features corresponding to your selected membership tier shall remain active for the duration of your subscription period, subject to timely renewal and your continued compliance with these Terms. Upon expiration or termination of your Membership, access to Member-gated content and features shall automatically cease.

10.3 Prohibited Conduct

You agree that You will not, and will not permit any third party to, engage in any of the following in connection with your use of the Platform:

Copy, scrape, harvest, reproduce, or otherwise extract any content from the Platform by automated or manual means, except as expressly permitted by these Terms;
Reverse engineer, decompile, disassemble, or attempt to derive the source code of any software underlying the Platform;
Alter, remove, or obscure any copyright, trademark, or other proprietary rights notice appearing on or within the Platform;
Upload, transmit, or distribute any content that is defamatory, obscene, abusive, hateful, discriminatory, or that promotes violence, illegal activity, or terrorism;
Transmit any malware, virus, Trojan horse, worm, or other harmful code through the Platform;
Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
Use the Platform in any manner that could damage, disable, overburden, or impair our infrastructure or interfere with other Users' enjoyment of the Services;
Attempt to gain unauthorized access to any portion of the Platform, other Users' accounts, or any systems or networks connected to the Platform;
Use the Platform for commercial solicitation, unsolicited communications, or spam, without the prior written consent of Cyberdelic Nexus.

Violation of any of the foregoing prohibitions may result in immediate termination of your Account and access to the Platform, and may give rise to civil or criminal liability.

11. LOCAL CHAPTERS

Cyberdelic Nexus facilitates a global network of Local Chapters, which are community-led groups organized around shared interests in the values and themes of the Cyberdelic Nexus mission. Local Chapter activities are organized by independent chapter leaders and participants and do not constitute official Cyberdelic Nexus events unless expressly designated as such. Cyberdelic Nexus does not assume responsibility or liability for the acts, omissions, content, or conduct of Local Chapter leaders or participants in connection with chapter activities. Participation in Local Chapter activities is at your sole risk.

12. INTELLECTUAL PROPERTY RIGHTS

The Platform and all content, features, and functionality thereof, including without limitation all software, algorithms, text, graphics, images, audiovisual works, course materials, knowledge bank content, and the design, selection, and arrangement of the foregoing, are owned by Cyberdelic Nexus, its licensors, or other rights holders, and are protected by applicable copyright, trademark, trade secret, and other intellectual property laws of the United States and applicable international treaties.

The names "Cyberdelic Nexus," "Cyberdelic Society," “Cyberdelic,” and all associated logos, taglines, and marks are trademarks or service marks of Cyberdelic Nexus LLC. You may not use any such marks without the prior written consent of Cyberdelic Nexus.

Nothing in these Terms grants You any right, title, or interest in or to the Platform or its content beyond the limited license expressly set forth in Section 10.1. Any unauthorized use of the Platform's intellectual property may constitute a violation of applicable law and will result in immediate termination of your access.

13. USER-GENERATED CONTENT

Where the Platform enables You to post, upload, submit, or otherwise contribute content, including comments, forum posts, community contributions, event-related content, or other materials ("User Content") You represent and warrant that: (a) You own all rights to the User Content or have obtained all necessary permissions to submit it; (b) the User Content does not infringe the intellectual property rights, privacy rights, or other rights of any third party; and (c) the User Content complies with all applicable laws and these Terms.

By submitting User Content to the Platform, You grant Cyberdelic Nexus a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, display, and adapt such User Content in connection with operating and promoting the Platform and Services. Cyberdelic Nexus does not assume any obligation to review User Content prior to publication, but reserves the right to remove, edit, or restrict any User Content at its sole discretion.

14. COPYRIGHT INFRINGEMENT AND DMCA

Cyberdelic Nexus respects intellectual property rights and requires all Users to do the same. If You believe that content available on the Platform infringes your copyright, please send a written notice to connect@cyberdelic.nexus including: (a) identification of the copyrighted work and the allegedly infringing material; (b) your contact information; (c) a statement of good faith belief that the use is unauthorized; and (d) a statement, under penalty of perjury, that the information provided is accurate and that You are the copyright owner or authorized to act on their behalf. Cyberdelic Nexus reserves the right to remove infringing content and, where appropriate, terminate the accounts of repeat infringers.

15. THIRD-PARTY SERVICES AND LINKS

The Platform may integrate with or provide links to third-party websites, applications, tools, or services ("Third-Party Services"). Cyberdelic Nexus does not control, endorse, or assume any responsibility for the content, accuracy, privacy practices, or availability of any Third-Party Services. Your use of any Third-Party Service is solely governed by that third party's own terms and privacy policy. Cyberdelic Nexus disclaims all liability arising from your use of or reliance on any Third-Party Service.

16. DISCLAIMER OF WARRANTIES

THE PLATFORM AND ALL SERVICES, CONTENT, AND FEATURES ACCESSIBLE THROUGH OR VIA THE PLATFORM ARE PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS," WITHOUT REPRESENTATION OR WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

CYBERDELIC NEXUS AND ITS SUBSIDIARIES, AFFILIATES, SUCCESSORS, ASSIGNS, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SPECIFICALLY DISCLAIM ALL WARRANTIES OF ANY KIND, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, USAGE OF TRADE, OR COURSE OF PERFORMANCE, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

CYBERDELIC NEXUS DOES NOT WARRANT THAT: (A) THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (B) ANY DEFECTS WILL BE CORRECTED; (C) THE PLATFORM OR ITS SERVERS ARE FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) ANY INFORMATION, CONTENT, OR MATERIALS AVAILABLE THROUGH THE PLATFORM ARE ACCURATE, COMPLETE, RELIABLE, OR CURRENT.

17. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CYBERDELIC NEXUS, ITS SUBSIDIARIES, AFFILIATES, SUCCESSORS, ASSIGNS, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST DATA, LOSS OF GOODWILL, PERSONAL INJURY, PROPERTY DAMAGE, OR ANY OTHER INTANGIBLE LOSS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM OR SERVICES, REGARDLESS OF THE LEGAL THEORY ASSERTED AND WHETHER OR NOT CYBERDELIC NEXUS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Without limiting the foregoing, Cyberdelic Nexus shall have no liability for:

Any physical injury, psychological distress, or emotional harm arising from participation in any in-person or virtual event, experience, or activity facilitated through the Platform;
Any reliance on content, course materials, knowledge resources, or community contributions available through the Platform;
Temporary or permanent suspension of access to the Platform or any Service;
Loss or corruption of data, including User Content, arising from technical failures or security incidents;
Any damages arising from the acts or omissions of Local Chapter leaders, third-party facilitators, or event co-organizers.

In no event shall Cyberdelic Nexus's total aggregate liability to You exceed the total amount of fees actually paid by You to Cyberdelic Nexus in connection with the specific Service giving rise to the claim. If no fees were paid, Cyberdelic Nexus's liability shall be limited to the amount You would have paid for such Service at the then-current listed price.

18. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Cyberdelic Nexus LLC and its subsidiaries, affiliates, successors, assigns, officers, directors, employees, agents, and licensors from and against any and all claims, demands, actions, losses, liabilities, damages, judgments, fines, penalties, costs, and expenses, including reasonable attorneys' fees and court costs, arising out of or in connection with: (a) your violation of any provision of these Terms; (b) your use or misuse of the Platform or Services; (c) any User Content You submit to the Platform; (d) your participation in any event, experience, or activity facilitated through the Platform; (e) your violation of any applicable law or regulation; or (f) any activity conducted through your Account, whether by You or any third party with or without your authorization.

19. DISPUTE RESOLUTION

19.1 Governing Law

These Terms and any dispute, claim, or controversy arising out of or relating to: (a) these Terms or any prior version thereof; (b) your use of or access to the Platform or Services; (c) any purchase, transaction, or Membership with Cyberdelic Nexus; or (d) any other matter involving Cyberdelic Nexus (collectively, "Disputes") shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of laws provisions.

19.2 Exclusive Jurisdiction and Venue

You and Cyberdelic Nexus each irrevocably and unconditionally consent to the exclusive jurisdiction and venue of the state courts of the State of Delaware and the United States District Court for the District of Delaware for the resolution of any Dispute. You hereby waive any objection to the laying of venue of any such proceeding in the State of Delaware, and waive any objection that the State of Delaware is an inconvenient forum.

19.3 Pre-Litigation Notice and Good Faith Resolution

Prior to commencing any legal proceeding, the party asserting a Dispute shall provide the other party with written notice describing the nature of the Dispute, the relief sought, and any supporting documentation (a "Dispute Notice"). The parties shall use commercially reasonable good faith efforts to resolve the Dispute through informal negotiation for a period of thirty (30) days following receipt of the Dispute Notice (the "Negotiation Period"). Commencement of legal proceedings prior to the expiration of the Negotiation Period shall not be a basis for dismissal; however, the parties agree that such pre-litigation notice and negotiation constitutes a condition precedent to the filing of any claim, except in cases where a party seeks emergency injunctive or equitable relief.

19.4 Equitable Relief

Nothing in these Terms shall limit either party's right to seek immediate injunctive or other equitable relief from a court of competent jurisdiction where necessary to prevent irreparable harm, including without limitation in connection with the actual or threatened infringement, misappropriation, or violation of intellectual property rights, confidential information, or data privacy obligations. The parties acknowledge that monetary damages may be inadequate to remedy such harm and that equitable relief may be granted without the requirement to post bond.

19.5 Limitation Period

To the fullest extent permitted by applicable law, any Dispute must be commenced within one (1) year after the cause of action accrues, or such shorter period as may be required by applicable statute of limitations. Any Dispute not filed within this period shall be permanently barred.

20. TERMINATION

20.1 Termination by Cyberdelic Nexus

Cyberdelic Nexus may suspend or terminate your Account and access to the Platform or Services at any time, with or without notice, for your violation of any provision of these Terms, for any conduct deemed harmful to the Cyberdelic Nexus community, or for any other reason at Cyberdelic Nexus's sole discretion. Cyberdelic Nexus shall not be liable to You for any suspension or termination of your access.

20.2 Termination by User

You may terminate your Account at any time by contacting Cyberdelic Nexus at connect@cyberdelic.nexus or through the account management interface on the Platform. Termination will take effect within a commercially reasonable period following receipt of your request. Termination does not entitle You to any refund of fees paid, except as provided in Section 8.4.

20.3 Effect of Termination

Upon termination of your Account, all licenses and rights granted to You under these Terms shall immediately cease. You acknowledge that Cyberdelic Nexus may, but is not obligated to, retain your account data following termination, subject to the terms of the Privacy Policy. You are solely responsible for maintaining any backup copies of User Content prior to termination.

21. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America. The governing law and exclusive jurisdiction provisions applicable to the resolution of Disputes are set forth in Section 19 of these Terms, which is hereby incorporated by reference into this section.

22. FORCE MAJEURE

Cyberdelic Nexus shall not be liable for any failure or delay in performing its obligations under these Terms to the extent such failure or delay is caused by circumstances beyond its reasonable control, including without limitation acts of God, natural disasters, pandemics, war, civil unrest, governmental actions, power outages, telecommunications failures, or third-party platform disruptions. In the event of a force majeure affecting any in-person or virtual event, Cyberdelic Nexus shall use commercially reasonable efforts to reschedule or provide an alternative form of access to affected Members.

23. ENTIRE AGREEMENT AND SEVERABILITY

These Terms, together with the Privacy Policy and any supplemental terms or event-specific agreements incorporated herein by reference, constitute the entire agreement between You and Cyberdelic Nexus with respect to your use of the Platform and Services, and supersede all prior or contemporaneous agreements, representations, or understandings between the parties relating to the same subject matter. If any provision of these Terms is found to be invalid, void, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

24. WAIVER

No failure or delay by Cyberdelic Nexus in exercising any right, remedy, or privilege under these Terms shall operate as a waiver thereof. No single or partial exercise of any right, remedy, or privilege shall preclude any other or further exercise thereof or the exercise of any other right, remedy, or privilege. Any waiver by Cyberdelic Nexus must be in writing and signed by an authorized representative to be effective.
